1. Agreement to Terms

By using the services of FlowPrimeAI ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services. These Terms apply to all visitors, users, and others who access or use the service ("Clients").

2. Description of Services

FlowPrimeAI provides services to help businesses ("Clients") solicit and manage customer reviews. This includes, but is not limited to, acquiring and managing customer contact information, sending review requests, and tracking review performance on behalf of our Clients.

3. Client Accounts and Responsibilities

To use our services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Client Data and Responsibilities

You are solely responsible for the customer data ("End-Customer Data") you provide to us. By providing End-Customer Data, you represent and warrant that you have obtained all necessary consents and permissions from your customers to share their information with us for the purpose of soliciting reviews. You agree to indemnify and hold FlowPrimeAI harmless from any claims arising from your failure to obtain proper consent.

5. Fees and Payment

You agree to pay all fees specified in your selected service plan. All fees are non-cancelable and non-refundable, except as explicitly stated in our Refund Policy. We reserve the right to change our fees at any time, and we will provide you with advance notice of any fee changes.

6. Refund Policy

All sales are final. There are no refunds once work has started.

"Work started" is defined as, but is not limited to, any of the following actions:

The acquisition of client information to set up a business profile.

The acquisition and/or formatting of a client's customer list.

Any action taken by FlowPrimeAI staff during or after the client onboarding call.

Once work has been started, all rights to a refund are void. By purchasing our services, you acknowledge and agree to this no-refund policy.

7. Service Guarantee

We are committed to delivering the results promised in your service agreement. We offer a guarantee that if the promised offer or results are not fulfilled within the specified timeframe, we will continue to provide our services at no additional cost until the agreed-upon offer is fulfilled. This guarantee is contingent upon your full cooperation and adherence to these Terms of Service.

8. Intellectual Property

All content and materials provided by FlowPrimeAI, including our website, software, and service methodologies, are the exclusive property of FlowPrimeAI and are protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without our prior written consent.

9. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use the service will immediately cease.

10. Disclaimer of Warranties

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. FlowPrimeAI makes no warranties, express or implied, regarding the services, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

In no event shall FlowPrimeAI, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which FlowPrimeAI is located, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
